1. Who we are
These terms apply to services provided by Misfiredexa B.V. (private limited company (B.V.)), Eerste Helmersstraat 78, 1054 DL Amsterdam, registered with the Chamber of Commerce under 84964854, VAT ID NL830830893B01. Contact: 020 261 8473, [email protected]. Statutory director: Maarten van Dijk.
We run the recording studio Misfiredexa with 3 rooms, including a live room of about 34 m² and 2 iso booths. Recording, mixing and mastering are delivered by appointment; details per service are on Services and the relevant service pages.
2. Definitions
| Term | Meaning |
|---|---|
| Client | The individual or company that accepts a proposal. |
| Consumer | A natural person acting for purposes outside trade, business or profession. |
| Business client | A client acting in trade or profession, such as a label, agency or producer. |
| Proposal | The written document describing the work, date, duration, price including and excluding VAT, deposit and any special terms. |
| Session | The reserved time in the studio or the agreed offline deadline for mix or master delivery. |
| Deposit | 30% of the agreed price including VAT, due when the booking is confirmed. |
3. Scope and formation
These terms apply to every offer and contract between Misfiredexa B.V. and the client. Only deviations written in the proposal take precedence.
A contract is formed when you accept a proposal (email, signature or other clear confirmation) and the deposit is received. Browsing misfiredexa.click or sending a Contact message alone does not bind you. When a business client supplies third-party personal data, our data processing agreement applies where needed alongside these terms.
4. Proposal and booking
After your request we send a proposal with price, schedule and scope. We aim to reply within 2 business days. A proposal stays valid for fourteen days unless another period is stated.
A time slot is firmly booked after acceptance and receipt of the deposit. Until then the slot may be offered to someone else. For distance contracts we confirm the booking by email with the core details from the proposal.
5. Prices and VAT
Rates on the site and in proposals are in euros, including 21% VAT unless stated otherwise. For business clients we also show amounts excluding VAT (for example €78.51 per vocal hour illustrates the split).
Extra studio time beyond the booked block is charged only if you confirm it in advance or during the session, at the hourly rate in the proposal. Offline mixing and mastering follow the units on Mixing and Mastering.
6. Payment
The deposit is 30% of the total price including VAT and is offset against the balance. Payment by bank transfer; card payment in the studio is available where indicated.
Consumers pay the balance on the session day or when mix/master files are delivered. Business clients pay within 14 days of the invoice date unless the proposal states otherwise. Late payment may incur statutory commercial interest and reasonable recovery costs.
Until full payment we may withhold final mix or master files; working sessions are stored as in article 10.
7. Reschedule and cancellation by client
| Timing | Effect |
|---|---|
| More than 4 days before | Free reschedule or cancellation; on cancellation we refund the deposit within 14 days. |
| Within 4 days but more than 48 hours | The deposit moves once to a new date within three months; otherwise it is forfeited. |
| Within 48 hours or no-show | The deposit is retained except in force majeure. |
Requests go in writing to [email protected] or by phone to 020 261 8473, followed by email confirmation. Arriving late shortens the session if the next slot is booked. These rules do not limit the consumer’s statutory withdrawal right (see article 8).
8. Withdrawal (consumers)
If you are a consumer and conclude a distance contract (email, phone or form), you may withdraw within 14 days without giving reasons, unless an exception applies.
If you want the session to start before that period ends, you must ask explicitly. If you withdraw afterwards, you pay an amount proportional to what was already delivered until your notice.
The withdrawal right ends when the service has been fully performed within the period, after you expressly agreed to early start and confirmed you lose the right once performance is complete. Custom audio that cannot be reused may fall under further exceptions; we state that in the proposal where relevant.
Notify withdrawal clearly to [email protected] or by post to Eerste Helmersstraat 78, 1054 DL Amsterdam. We refund within 14 days using the same payment method unless agreed otherwise.
9. Cancellation by Misfiredexa
If we must cancel due to breakdown, illness or an incident on the premises, we inform you as soon as possible and offer another date. If that does not suit you, we refund all amounts paid within 14 days. We do not replace the engineer without discussion.
10. Sessions and house rules
Opening hours: Monday–Friday 11:00–20:00, Saturday 10:00–16:00. Closed on Sunday.. Bookings are by appointment. The studio has 19 microphones and 20 desk inputs; room use must stay safe and within acoustic limits.
Participants under 16 need written consent from a parent or guardian who books and pays; an adult stays present during the session. No smoking or vaping indoors. You treat gear and rooms carefully and follow engineer instructions.
If people or equipment are at risk we may pause or stop a session; the booked time remains due. Damage through intent or negligence is charged to the client. Practical tips are in Guides, for example vocal warm-up.
11. Files, delivery and archive
Unless the proposal says otherwise, we deliver common formats (such as WAV) via download link or on media you provide. Offline mix or master deadlines run from receipt of complete, usable files.
We keep session and project files for 24 months after the last activity on that job, then delete them unless you order extended storage in writing. You are responsible for backups within that window. See also master formats for streaming.
12. Revisions
Offline mixing includes 2 revision rounds: one bundled feedback list per round. Mastering includes one revision round as on Mastering. Extra rounds or a new artistic direction after approval are quoted separately.
13. Intellectual property
Your works. Compositions, lyrics and samples you supply remain yours or your licensors’. You warrant you may have them recorded and mixed. We claim no copyright in your music.
Recordings. Where law assigns producer rights on phonograms to whoever initiates and is responsible for the fixation, that generally applies to you as the paying client. To the extent we could claim any rights in recordings you paid for, we assign them to you after full payment.
Performers. Fixing and exploiting performances requires performer consent. Arrange that in your own contracts; we provide the technical service.
References. We name your project only as a reference with written consent. We do not use recordings to train AI systems without separate written permission.
14. Liability
We perform work with due care of a recording studio; artistic outcome also depends on your preparation and choices and is not guaranteed. Our liability is limited to direct damage from attributable breach, except where mandatory law says otherwise (for example personal injury or intent).
For business clients total liability per job is capped at the invoice amount including VAT, unless there is intent or wilful recklessness. Indirect loss such as missed releases or lost profit is excluded where permitted.
Limits on website content: Disclaimer.
15. Force majeure
In force majeure (for example power failure, pandemic, government measure) parties need not perform for as long as it lasts. We seek a new date together; if hindrance exceeds 28 days either party may terminate and we refund amounts for undelivered services.
16. Personal data
We process personal data under our privacy policy. Questions about data in recordings or guest lists: [email protected].
17. Complaints and disputes
Send complaints in writing to [email protected] or by post. We respond within 2 business days with a substantive reply where possible.
Consumers may bring disputes before a competent court. Information on EU online dispute resolution: European Commission ODR platform. We do not automatically join a specific industry board unless law requires it and we have stated so.
18. Law and jurisdiction
Dutch law governs these terms. Consumers may also rely on mandatory rules of their country of residence where applicable.
For business disputes the courts in the Amsterdam district have jurisdiction unless mandatory law points elsewhere.
19. Changes
We may update these terms. The version dated 14 October 2026 applies to new jobs after that date. Ongoing jobs keep the version in force at acceptance unless changes are only to your benefit.
If languages conflict on the site, the Dutch text prevails. Questions? Contact us or read the legal notice.
